Minutes of the Jan. 21, 2003 Executive Board Meeting

Meeting Place: The Cactus Corners Restaurant – Sun Lakes Country Club

Those in Attendance: Elton Dyal, Bob Earl, Al Galvi, Vern Nelson, Ray Schrecengost, and Dick Vaughan

Absent were: Sam Doria, Jim Parish, Bernie Peterson, Jim Space and Ziggi Wirganowicz.

Vice President Vern Nelson opened the meeting by announcing that he had contacted both Jim Smith and John Marsh about taking over my duties as Secretary. Both declined. I was asked if I would continue to act as secretary until a replacement could be found. I of course said I would. I have since been told that Bob Earl has stepped forward and accepted the position as soon as he has his new computer set up. Thank you Bob.

Next was a report from Ray and Vern concerning that age-old topic of Incorporation? Ray and Vern had recently had a meeting with an attorney, Wesley Davis who lives at 10945 E. Bellflower in Sun Lakes. Vern and Ray explained the structure and purpose of SLAC.

Mr. Davis was of the opinion that there was no reason to incorporate. Both Vern and Ray asked Mr. Davis why had other attorneys recommended incorporation. He explained they had been asking the wrong question. The real question is what are the liabilities to members of SLAC. In close examination there is none provided we use Disclaimers for all participating in the planning of Fly-Ins and other social trips. I agreed to have my son Gary work up a good Disclaimer Form for both the planning members and pilot members. There seems to be no reluctance on the part of the Executive members present to signing a waiver, holding the pilot harmless in case of an accident.

As the result of deciding not to incorporate, Ray agreed to rework the BY-LAWS. This will be the fourth and hopefully the last time.

Until I hear back from Gary, I suggest we use the Disclaimer Form Vern worked up and e-mailed on 1/5/03.

The Executive Members voted on the WEB site. It was voted to continue the WEB site with Ray casting a dissenting vote.

Ray expressed that the President should coordinate the speakers.

Dick Vaughn suggested he allowed to set up a trip to STRATCOM at Offutt AFB in Omaha, Nebraska. His son is a colonel stationed there and can assure a great tour.

The next executive meeting is scheduled for Feb. 25, 2003 at 0900 hrs in the card room at Sun Lakes Country Club.
